1. Acceptance of Terms

By using Capsho, you affirm that you have read, understood, and agree to comply with these Terms. If you do not agree to any part of these Terms, you may not access or use our services.

2. Description of Services

Capsho is an AI-powered content generation platform. It:

• Produces written marketing materials (including, but not limited to, social media captions, blog posts, titles, descriptions) based on user-provided inputs in audio or video format
• AI-generated images based on user-provided instructions and
• Identifies and creates video clips from user-provided inputs in video format

1. Content Generation:
   • Capsho's AI generates content based on the materials you provide. You are responsible for reviewing and validating all content produced before using it publicly or commercially.
2. Content Storage:
   • We may store the content you upload, as well as the AI-generated content, to facilitate ongoing or future use. We take reasonable measures to secure stored information, but we recommend maintaining your own backups.

3. User Obligations

1. Compliance with Laws:
   • You agree to use Capsho in a manner that complies with all local, state, national, and international laws, regulations, and ordinances.
   • You must have the legal right to upload or request the generation of any content through our platform. You are solely responsible for ensuring that your uploads and subsequent usage do not infringe upon the rights of any third party.
2. Prohibited Conduct:
   • You shall not upload or generate content that is defamatory, harmful, abusive, threatening, obscene, hateful, or otherwise objectionable.
   • You shall not engage in any activity that disrupts or interferes with Capsho or the servers and networks used to provide our services.
3. Account Information:
   • You agree to provide accurate and up-to-date information when creating an account and to promptly update any details if they change.

4. Intellectual Property

1. Capsho Intellectual Property:
   • All rights, title, and interest in the Capsho platform, including any software, trademarks, logos, and brand features, are the exclusive property of Capsho or its licensors.
   • You shall not use, reproduce, modify, or distribute Capsho's intellectual property without explicit written permission from us.
2. User Intellectual Property:
   • Any content you upload remains your property. By uploading content, you grant Capsho a non-exclusive, worldwide, royalty-free license to process, store, and display this content for the purpose of providing our services.
3. AI-Generated Content:
   • The content generated by Capsho's AI is produced based on your inputs. You have the rights to use, modify, or distribute the generated content for personal or commercial purposes. However, you are solely responsible for any claims arising from the use of such content.

5. Payment and Subscription

1. Subscription Tier:
   • Capsho currently offers one subscription tier. By subscribing, you agree to pay all associated fees in a timely manner and in accordance with the plan's stated billing cycle.
2. Billing and Renewal:
   • Billing occurs on a recurring basis, consistent with your selected payment cycle.
   • By providing your payment information, you authorize Capsho to charge you for the ongoing subscription fees.
   • Unless you cancel your subscription, it will automatically renew at the end of each billing period.
3. Cancellation and Refund Policy:
   • If you choose to cancel your subscription, the cancellation will take effect at the start of the next billing period. You will continue to have access to Capsho until the current billing period expires.
   • No refunds will be issued for any portion of the subscription period already billed. Specifically, if you cancel after a new billing period has begun, you will not receive a refund for the previous billing period, regardless of usage.

6. Disclaimer of Warranties

Capsho is provided on an "as is" and "as available" basis. To the fullest extent permitted by applicable law, we make no representations or warranties of any kind, express or implied, regarding the operation of Capsho or the information, content, or materials provided. We do not guarantee that our services will be error-free, uninterrupted, or will meet your requirements.

7. Limitation of Liability

In no event shall Capsho be liable for any indirect, incidental, consequential, or special damages arising out of or in connection with your use of or inability to use our services. This includes, without limitation, any loss of profits, business interruption, or loss of data. Some jurisdictions may not allow such limitations, so certain exclusions may not apply to you.

8. Indemnification

You agree to indemnify, defend, and hold harmless Capsho, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising from or related to:

1. Your use of Capsho;
2. Your violation of these Terms;
3. Your violation of any third-party rights, including intellectual property or privacy rights;
4. Any content you upload or generate through Capsho.

9. Termination

We reserve the right to suspend or terminate your account and access to Capsho at any time if we believe you have violated these Terms. You may also terminate your account by canceling your subscription. Termination will not relieve either party of any obligations incurred prior to the effective date of termination.

10. Changes to Terms

We may update or modify these Terms at any time. Any changes will be posted on our website, and the updated Terms will become effective upon posting. If you continue using Capsho after such changes are posted, you will be deemed to have accepted the revised Terms.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas. Any disputes arising under or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Texas.
